WASHINGTON / NEW YORK — In one of the most comprehensive modernizations of securities disclosure rules in decades, financial regulatory authorities led by the US Securities and Exchange Commission (SEC) have formally published proposed rule changes under ‘Regulation E-Delivery’. The transformative regulatory framework officially reverses the longstanding presumption of physical paper mailings, establishing electronic transmission as the default mechanism for delivering prospectuses, proxy statements, periodic shareholder reports, and investment advisory disclosures to investors worldwide. Under the existing regulatory framework established during the mid-1990s, broker-dealers, registered investment advisers, mutual funds, and publicly traded corporations were legally required to obtain explicit, affirmative investor consent before substituting paper filings with digital documents.
